The signed Master Services Agreement, Statement of Work, approved change orders, and other applicable signed documents govern the specific engagement.

If a signed client agreement conflicts with these Terms, the signed client agreement controls for that engagement.

5. No Guaranteed Results or Compliance

ReGenix Sciences does not guarantee:

  • Legal or regulatory compliance
  • Accessibility conformance
  • Message delivery or inbox placement
  • Platform availability
  • Website, domain, or software performance
  • Patient participation
  • Medical eligibility
  • Prescribing decisions
  • Pharmacy fulfillment
  • Clinical outcomes
  • Revenue
  • Referrals
  • Conversions
  • Profitability
  • Any other business, medical, operational, marketing, or financial result

Independent providers, pharmacies, software companies, hosting providers, email providers, scheduling tools, technology platforms, and other third parties control their own services, decisions, availability, policies, and performance.

6. Limited Permission to Use the Website

Subject to these Terms, ReGenix Sciences grants you a limited, revocable, nonexclusive, and nontransferable permission to access the publicly available website for:

  • Ordinary website viewing
  • Evaluating whether ReGenix Sciences services may be relevant to your business
  • Communicating with ReGenix Sciences regarding a possible business engagement

No ownership or intellectual-property rights are transferred.

Any client license to use a final deliverable exists only under the applicable signed agreement and after all stated contractual conditions have been satisfied.

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless ReGenix Sciences and its owners, managers, personnel, contractors, licensors, and service providers from claims, losses, liabilities, damages, penalties, judgments, costs, and reasonable attorneys’ fees arising from:

  • Your unlawful or unauthorized use of the website
  • Information or materials you submit
  • Your infringement of another party’s rights
  • Your unauthorized submission of patient or medical information
  • Your violation of these Terms

13. Governing Law and Venue

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles.

Before filing a claim arising solely from the public website, the parties will attempt in good faith to resolve the matter through written notice and informal discussion.

Unless a signed agreement provides a different procedure, an action arising solely from the public website or these Terms must be brought in a state or federal court having jurisdiction in or serving Cherokee County, Georgia.

Each party consents to that jurisdiction and venue, subject to any nonwaivable right under applicable law.

14. Changes and Termination

We may revise these Terms by posting an updated version with a revised date.

Continued use of the website after revised Terms are posted constitutes acceptance to the extent permitted by law.
